Senior Legal & Compliance Manager – Private

Our client is a leading private markets investment
firm serving a sophisticated global client base of asset owners. Through a diversified
platform covering private equity, private credit and real assets, the firm
designs and manages bespoke investment solutions across international markets.
As part of its continued expansion, the firm is
seeking to appoint a Senior Legal & Compliance Manager to lead the company’s
legal & compliance function; and support its core business acting on the legal
design, execution and governance of private markets investment structures.
Your Mission and Contribution
Reporting directly to senior management, you will play a pivotal role
both in the investment advisory activity, and in the company’s sustainability,
defending its best interests and ensuring its compliance to regulations.
Company overview
·Write, review and negotiate
all legal agreements of the company, acting as the gatekeeper in the best
interests of InPact Partners and its clients
·Design and implement the legal
framework to support for new company initiatives
Legal negotiation
·Ensure all terms of the
agreements are duly complied with and negotiated contractual provisions are
effectively implemented
·Perform legal due diligence on
investment projects (funds and co-investments) and negotiate terms (changes in
legal documents, side letters, etc.) to protect our clients’ interests
Structuring
·Structure separate managed
accounts (SMAs) with fund managers to incorporate negotiated terms and optimize
legal and operational efficiency
·Structure and establish
dedicated vehicles with third parties to manage our client mandates
Compliance
·Develop and maintain a robust
framework of policies and procedures within the company
·Coordinate with external
counsel across various jurisdictions and oversee the delivery of legal
documentation
·Identify, assess and mitigate
legal and compliance risks
Reporting & Training
·Perform required regulatory
reporting to regulators, auditors, the management committee and the Board of
Directors
·Maintain the knowledge over
relevant laws and regulations and train the team members accordingly
Requirements
- Minimum 10 years of relevant experience gained within
leading firms (law firms, private markets investment managers, asset manager
or alternative investment platform)
- Strong expertise in private markets fund formation and international
investment structuring
- Proven experience advising institutional investors, asset managers or
alternative investment funds
- Excellent knowledge of cross-border legal frameworks applicable to
private markets investments
- Strong commercial mindset with the ability to balance legal risk and
business objectives
- Experience working across multiple jurisdictions and coordinating
external legal advisers.
- Excellent stakeholder management and communication skills
- Entrepreneurial, pragmatic and solution-oriented approach
- Fluency in English is essential; French is an advantage
